These Terms of Service ("Terms") govern your access to and use of www.joinagc.com, the AGC membership dashboard, POD systems, events, communication tools, directories, and related services (collectively, the "Services") provided by Accelerated Global Connections, LLC ("AGC," "we," "our," or "us").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Membership

Certain features of the Services require an active AGC membership and a joinagc.com account in good standing. AGC may verify membership status and suspend or terminate access if membership lapses or is terminated.

You must be at least 18 years old to use the Services.

2. User Accounts

You agree to provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account.

Notify AGC immediately of any unauthorized access.

AGC may suspend or terminate accounts at any time if these Terms are violated, if your conduct poses a risk to others or the Services, or if your membership status changes.

3. Payments and Billing

Where fees apply, payments are processed through third-party providers such as Stripe. You authorize AGC and its payment processors to charge applicable fees using your provided payment method.

Refunds, cancellations, and billing disputes are governed by AGC's membership and billing policies.

4. Events, Guests, and Substitutes

AGC events may be open to members and non-members, subject to event-specific terms and fees. POD meetings may allow guests or substitutes when invited by a member.

Guests and substitutes may receive meeting-related emails but are not permitted to access POD systems, dashboards, reports, or internal tools.

5. POD Systems and Participation

Participation in POD systems is a privilege tied to AGC membership. You agree to follow POD guidelines, act professionally, and use POD tools only for legitimate AGC-related networking.

AGC and POD officers may review POD data for attendance, reporting, analytics, leadership review, and compliance. AGC may restrict or revoke POD access for misuse or noncompliance.

6. Member Connections and Messaging

Members may connect and exchange Direct Messages (DMs). You agree to use messaging features professionally and not to send spam, harassment, harmful content, or solicitations unrelated to AGC.

While DMs are generally private, AGC may access communications when reasonably necessary to enforce policies, investigate misconduct, comply with law, protect users, or maintain system security.

7. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes
• Disrupt or interfere with the Services or attempt unauthorized access
• Scrape or misuse member data
• Upload infringing, defamatory, obscene, or malicious content
• Reverse engineer or copy the Services without permission
• Promote competing organizations without AGC's consent

AGC may investigate violations and take appropriate action, including termination and legal remedies.

8. Content and File Uploads

You represent that any content you upload is lawful, non-infringing, and free of malware. AGC may remove content that violates these Terms or AGC policies.

9. Profiles and Member Directory

Certain profile information may be visible to other members. You control what you share and are responsible for its accuracy.

Do not include highly sensitive personal information in public-facing fields.

10. Third-Party Services

The Services may integrate with third-party providers (e.g., payment processors, email services, analytics tools). Your use of third-party services is governed by their terms and policies.

AGC is not responsible for third-party practices.

11. Intellectual Property

All content, trademarks, software, POD frameworks, and materials provided through the Services are owned by AGC or its licensors and protected by law.

You may not copy, modify, distribute, or use AGC intellectual property without written permission.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND.

AGC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AGC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

AGC'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO AGC IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless AGC and its officers, members, employees, and agents from claims arising out of your use of the Services, violation of these Terms, or content you submit.

15. Governing Law and Dispute Resolution

These Terms are governed by Minnesota law. Disputes shall be resolved through binding arbitration in Minnesota, except where AGC seeks injunctive relief.

You waive the right to a jury trial and class actions.

16. Changes to These Terms

AGC may update these Terms at any time. Continued use of the Services after updates constitutes acceptance.
